What Must a Company Do When a Director Resigns?

When a director resigns: keep receipt evidence, verify the effective date, update company records, arrange the ROC filing and change signing authority.

8 min read

Short answer

When a director resigns, the company should preserve the written notice and proof of receipt, verify when the resignation takes effect, and arrange Board noting, record updates and the applicable ROC filing. The effective date follows the later of the company's receipt of the notice and any date specified in it, as explained in the Companies Act source below. Review bank mandates, portal access and delegated authority separately, and retain evidence that each change was completed. Last reviewed: October 2026.

What should the company preserve when the notice arrives?

Start a resignation file containing the notice exactly as received. Preserve the original email and attachment, or the physical letter with its delivery record. Add an acknowledgement stating when the company received it. This gives the person preparing the filing a clear record to work from.

  • Match the company name and director's identity against the company's existing records.
  • Record the receipt date and who received the notice on the company's behalf.
  • Keep delivery evidence, such as the email record, acknowledgement or courier receipt.
  • Identify any proposed effective date and any unclear wording for professional review.
  • Assign someone to coordinate the records, filing and handover.

If the director has only discussed leaving, ask for a clear written notice. If receipt or authenticity is disputed, preserve the available evidence and ask your company secretary or legal adviser how to proceed. Do not create a replacement letter or backdate an acknowledgement to make the paperwork look complete.

How should the effective date be checked?

The Companies Act links effectiveness to receipt of the notice or the date specified in it, whichever is later. Compare those points before preparing the records. The date printed beside the signature is not sufficient evidence of when the company received the notice.

For an illustrative example, suppose a notice asks for immediate resignation but reaches the company after it was signed. Do not automatically use the signature date. If the notice instead specifies a later effective date, flag that distinction for the person preparing the Board record and filing.

What should the Board and company records show?

The Companies Act requires the Board to note the resignation and the company to report it to the Registrar. It also requires the resignation to be reflected in the directors' report placed before the immediately following general meeting. Ask the company secretary to carry these requirements through the relevant records.

Prepare the Board papers from the same notice and receipt evidence used for the filing. Ask the company secretary to update the register of directors and key managerial personnel under the applicable register requirements. Keep the former entry and cessation history traceable rather than deleting the person's record.

  • Record the notice, its receipt and the verified effective date.
  • Arrange any authorisation needed for filing and replacement signing arrangements.
  • Review whether the remaining Board can meet applicable composition and decision-making requirements.
  • Track the resignation disclosure for the relevant directors' report.

How should the company arrange the ROC filing?

The Act requires the company to intimate the Registrar in the prescribed form; this is commonly done through Form DIR-12. Have the filing professional confirm the current form, attachments, signing requirements and filing period on the MCA portal before submission.

Give the professional the complete evidence file, not just a message saying that the director has left. Ask for a review copy so that the identity, cessation reason and effective date can be compared with the underlying documents. Confirm who will sign and who will handle any follow-up.

After submission, retain the filed form, attachments, acknowledgement and payment record where applicable. Ask the professional to check the filing status and resulting company details, and to resolve any pending query. Use the ROC annual filing checklist for private limited companies to keep this event file connected with the wider compliance record.

Which signing powers and access should be reviewed?

Run a separate operational handover alongside the statutory work. Make an inventory of places where the director can approve payments, sign documents, operate accounts or act for the company. Ask each bank or service provider what it needs to change that authority and retain its confirmation.

Review bank mandates, delegated signing powers, tax and compliance portal roles, payment approvals and company email access. Set up replacement approvals through the proper process. Preserve company records before closing access, and never ask the departing director to hand over a personal password, OTP or signing credential.

What evidence should the completion checklist contain?

Use a checklist that names a responsible person for each action and links it to evidence. A useful close-out question is: could someone unfamiliar with the handover explain what happened from the file alone?

  • Written resignation and receipt evidence preserved together.
  • Effective date checked against the notice and receipt record.
  • Board noting and relevant register updates completed.
  • Applicable filing submitted and its status checked.
  • Directors' report disclosure assigned to the person preparing it.
  • Bank mandates, delegated authority and access changes confirmed.
  • Outstanding handover items given an owner and a follow-up action.

Keep records in a controlled company folder with access limited to those handling the matter. The guide to understanding ROC compliance provides the broader context; the director KYC checklist covers a separate area that should not be treated as completed merely because a resignation has been filed.

What common mistakes should the company avoid?

  • Using the letter's signature date without checking receipt evidence.
  • Leaving conflicting cessation dates in the notice, records and filing.
  • Treating a draft form or submission acknowledgement as proof that every action is complete.
  • Assuming the filing professional will also change bank mandates and operational access.
  • Leaving report disclosure or an unfinished handover without a named owner.
  • Reusing the departing director's credentials instead of arranging authorised access.

When does this routine need specialist advice?

Seek advice before following a routine checklist where receipt is disputed, the notice is conditional, the company cannot identify an authorised signatory, or the remaining Board's ability to act is uncertain. If all directors are leaving, the Companies Act provides a special replacement mechanism; treat this as an escalation rather than an ordinary handover.

This guide addresses a voluntary resignation from the Board. Removal, disqualification, death and departure from an employment role need their own assessment. Ask a practising company secretary about the company-law process and your chartered accountant about connected accounting or tax matters. Check current requirements rather than relying on an old filing checklist.

Questions owners ask

Does the Board meeting date decide when resignation takes effect?

The Companies Act ties effectiveness to receipt of the notice or the date specified in it, whichever is later. Ask the company secretary to verify the date from the evidence and record it consistently in the Board papers and filing.

Can the company rely on the departing director to handle its filing?

The company should arrange its own applicable Registrar intimation. Assign the filing to a named person and retain the submission records rather than assuming that action by the departing director completes the company's responsibility.

Is resignation complete once DIR-12 has been submitted?

Submission is one part of the workflow. Check the filing status, company records, relevant report disclosure and operational authority changes. Keep evidence for each completed action and track anything outstanding.

Does resignation automatically settle guarantees or shareholding?

Do not assume so. Ask an adviser to examine guarantees, shares, employment terms and contractual authority separately. Record any additional action or consent needed for those arrangements.
